These Terms of Service ("Terms") govern your access to and use of the services provided by Vox Proventus LLC ("Vox Proventus," "we," "our," or "us"), including our AI voice and chat automation services, website, and all related platforms. By engaging our services or accessing our website, you agree to be bound by these Terms. If you do not agree, please do not use our services.

// 01 — SERVICES

Vox Proventus provides AI-powered voice and chat automation services, including but not limited to: AI voice agent deployment for inbound phone calls; AI chat widget integration for business websites; workflow automation connecting call data to customer relationship management (CRM) tools, calendars, and other business systems; call transcription, summarization, and lead routing; and ongoing optimization, reporting, and support. Services are provided pursuant to a written Service Agreement executed between Vox Proventus and the client business. These Terms supplement and are incorporated into any such Service Agreement.

// 02 — AI SERVICES AND LIMITATIONS

Our AI agents are sophisticated automated systems but are not infallible. You acknowledge and agree that: AI voice and chat agents may not perfectly understand all accents, dialects, or colloquial speech; AI responses are generated based on trained parameters and may occasionally produce inaccurate or incomplete information; Vox Proventus does not guarantee that AI agents will capture 100% of calls or convert all interactions into qualified leads; AI systems are subject to third-party infrastructure and may experience downtime or degraded performance; and AI-generated conversation summaries are automated and should be reviewed by your team before acting on them. Vox Proventus will use commercially reasonable efforts to maximize service uptime and accuracy, but makes no guarantee of specific outcomes.

// 03 — CLIENT OBLIGATIONS

As a client of Vox Proventus, you agree to: provide accurate and complete information about your business during onboarding; obtain all necessary consents from your customers before deploying AI call handling systems on your behalf, including any required disclosures under the Telephone Consumer Protection Act (TCPA) and applicable state law; not use our services for any unlawful purpose or in violation of any regulation; promptly notify us of any performance issues, errors, or concerns; maintain the confidentiality of any access credentials or configuration details we provide; and ensure that your use of our services complies with all laws applicable to your specific industry (including, without limitation, healthcare regulations, legal professional conduct rules, and financial services regulations).

// 04 — PAYMENT TERMS

Service fees are set forth in your Service Agreement. Monthly retainer fees are due on the 1st of each month. One-time setup fees are due prior to the commencement of service configuration. Overage charges for voice minutes beyond your plan are invoiced monthly. All fees are non-refundable except as expressly set forth in your Service Agreement. Accounts past due by more than 15 days may be suspended. Accounts past due by more than 30 days may be terminated. Vox Proventus reserves the right to adjust pricing with 30 days written notice. Your continued use of services after a price change constitutes acceptance of the new pricing.

// 05 — INTELLECTUAL PROPERTY

All AI models, automation workflows, code, software, and system configurations developed or provided by Vox Proventus remain the exclusive intellectual property of Vox Proventus. You are granted a limited, non-exclusive, non-transferable license to use these systems solely in connection with your active service engagement. You may not copy, reverse-engineer, resell, or sublicense any component of our systems. Any custom configurations developed specifically for your business during your engagement will be clearly defined in your Service Agreement.

// 06 — LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VOX PROVENTUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITY, OR LOSS OF DATA ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF OUR SERVICES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE TOTAL FEES PAID BY YOU TO VOX PROVENTUS IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM. Some jurisdictions do not allow limitations on implied warranties or exclusions of liability, so some of the above limitations may not apply to you.

// 07 — TERMINATION

Either party may terminate the service engagement in accordance with the terms of the applicable Service Agreement. Your first 90 days of service run month-to-month. After 90 days, standard notice periods as set forth in your Service Agreement apply. Vox Proventus may immediately suspend or terminate services for: non-payment; material breach of these Terms; illegal use of our services; or any conduct that endangers the security of our systems or other clients. Upon termination, you will retain ownership of your business data and call records as specified in your Service Agreement.

// 08 — GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or your use of our services shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in El Dorado County, California under the rules of the American Arbitration Association. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
